Decision-making structure and operational guiding principles
Regarding strategy, the main decision-making body of inpEV is the General Assembly, which role is to validate the strategic mid- and long-term guidelines, besides approving the economic and operational balance sheets. It is formed by contributing members and by the president of the Board of Directors, or by the person appointed by him.
The General Assembly also elects the Board of Directors, formed by the inpEV CEO and 13 full members:
- five contributing member representatives (representatives of manufacturing companies elected by the Assembly);
- eight collaborating members (sector entity representatives).
This board is responsible for defining the guidelines to fulfill the Institute's mission and social objectives, ensure legal compliance, protect all assets, ensure the correct use of resources and promote synergies among the links of the agricultural productive chain. The Board is also responsible for authorizing inpEV to represent its members and approve the agreements and covenants signed by the Institute's Presidency.
In the executive sphere, administration is carried out by the Executive Board, presided by the CEO. The CEO acts as an independent member, i.e., he is not associated to any member company, and is appointed by the Board of Directors.
inpEV's Corporate Governance model is in line with the best practices in the market and follows strict audit and control standards.
